Terms of Use

1. Who we are and what these terms cover

These Terms of Use govern your use of impleko.com (the "Site"). The Site is operated by Impleko LLC, a Florida limited liability company at 7901 4th St N #19639, St. Petersburg, FL 33702, United States ("Impleko", "we", "us"). By using the Site, you agree to these terms. If you use the Site on behalf of a company, you confirm that you can accept these terms for it.

2. Business use only

The Site is for agencies and other businesses evaluating Impleko as a white-label development partner. It is not intended for consumers or for anyone under 18.

3. Services are governed by a signed agreement

Nothing on the Site is an offer to provide services. We provide services only under a signed partner agreement and a statement of work or order (together, the "Partner Agreement"). If the Partner Agreement conflicts with these terms, the Partner Agreement controls. Timelines, prices and examples on the Site are general information; the scope, price and delivery date of any project are set in its written quote.

4. Partner Protection Policy

Our Partner Protection Policy at impleko.com/partner-protection describes the commitments we make to agency partners. Those commitments become binding when they are included in a signed Partner Agreement.

5. Applications and inquiries

When you apply to partner with us or contact us, you agree to give accurate information and to share only information you have the right to share. Do not send client credentials, confidential client data or personal information about your clients through Site forms. We set up an NDA and a secure channel for that. Submitting an application does not create a partnership or any obligation for either party.

6. Text messages (SMS)

If you give us your mobile number and opt in, Impleko LLC may send you automated text messages about partner calls, scheduling, reminders and support.

  • Consent is not a condition of purchase.
  • Message frequency varies about 4 to 5 messages per month.
  • Message and data rates may apply. Messages are sent from a U.S. 10-digit long code.
  • Reply HELP for help, or contact info@impleko.com or +1 (904) 243-6176.
  • Reply STOP at any time to opt out. You will receive one message confirming the opt-out. Reply START to subscribe again.
  • Carriers are not liable for delayed or undelivered messages.

7. Acceptable use

You agree not to:

  1. use the Site in violation of any law;
  2. try to gain unauthorized access to the Site or our systems, or probe, scan or test their vulnerability;
  3. send spam, malware or automated form submissions;
  4. copy or scrape Site content in bulk, other than normal indexing by search engines and AI assistants;
  5. misrepresent your identity or your agency.

8. Intellectual property

The Site and its text, design, graphics, animations and code, and the Impleko name and logo, belong to Impleko LLC or its licensors. You may view and share Site pages to evaluate our services. You may not copy, modify or republish Site content for other purposes without our written permission.

Names of third-party platforms, such as GoHighLevel, HubSpot, Retell AI, VAPI, LiveKit, Twilio, ElevenLabs, OpenAI and Claude, belong to their owners. They appear only to describe tools we work with and do not mean those companies endorse Impleko.

Ownership of work we deliver is set in the Partner Agreement. Under our standard terms, code, prompts and workflows transfer to you or your client once they are paid for.

9. Feedback

If you send us ideas or suggestions about the Site or our services, we may use them without any obligation to you.

10. Case studies and results

Case studies describe past work, are published with permission and may be anonymized. Results depend on each client's data, tools and market, so examples on the Site are not a promise of a specific outcome.

11. Third-party sites and platforms

The Site links to sites we do not control, such as booking calendars and our profiles on other platforms. We are not responsible for their content or practices. Many builds depend on third-party platforms whose features, pricing and availability can change without notice to us.

12. Disclaimers

The Site and its content are provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, error-free or secure. Content on the Site is general information, not legal, financial or compliance advice.

13. Limitation of liability

To the fullest extent permitted by law, Impleko LLC will not be liable for any indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue, data or goodwill, arising from your use of the Site. Our total liability for any claim relating to the Site is limited to one hundred U.S. dollars (US$100). This section does not apply to services under a Partner Agreement, which sets its own limits, or to liability that the law does not allow us to limit.

14. Indemnity

You agree to defend and indemnify Impleko LLC against claims arising from your misuse of the Site or your breach of these terms, including information you submit without the right to share it.

15. Governing law and disputes

These terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Before filing any claim, each party will give the other written notice and try in good faith to resolve the dispute for 30 days. Any dispute relating to the Site that is not resolved will be brought only in the state or federal courts located in Pinellas County, Florida, and both parties consent to their jurisdiction.

16. Changes to these terms

We may update these terms. The "Last updated" date shows the current version. Changes apply from the date they are posted, and using the Site after that means you accept them.

17. General

If any part of these terms is unenforceable, the rest stays in effect. Not enforcing a provision is not a waiver of it. You may not assign these terms; we may assign them as part of a merger or sale of our business. These terms, our Privacy Policy and any Partner Agreement are the entire agreement between you and us about the Site.
